01. Acceptance of terms

These Terms form a legally binding electronic contract under the Indian Contract Act, 1872 and the Information Technology Act, 2000. They do not require a physical or digital signature. By accessing or using the site or the Recordbook service, you agree to these Terms, our Privacy Policy and our Refund Policy.

02. Eligibility and access

You must be at least 18 years old and capable of entering into a binding contract under Indian law. If you use Recordbook for a business, you confirm you are authorised to bind that business. Subject to these Terms, Mensa Labs Private Limited grants you a non-transferable, non-exclusive, revocable, limited licence to use the site and service.

03. Your account and content

You are responsible for your account credentials and for all activity under your account, including activity by team members you invite. You own the data you enter into Recordbook. You give us a limited licence to host, process and display it only to provide the service. You are responsible for the legality of your content and for having the right to store any personal data of third parties that you enter.

04. Acceptable use and restrictions

You must comply with applicable law, including the IT Act, 2000. You may not:

• sell, rent, lease, transfer, assign, host or commercially exploit the site or service, except as the plan allows;
• modify, disassemble, reverse engineer or copy any part of the service;
• build a similar or competing product using the service;
• upload content that is unlawful, infringing, defamatory, obscene, or that violates the rights of others;
• introduce malware, probe or disrupt the service, or access it by unauthorised means; or
• use the service for fraud, money laundering or any other offence.

05. Plans, fees and payments

Some features are free; others need a paid monthly or annual plan. Prices are shown on the pricing page, in Indian Rupees where applicable, and may be inclusive or exclusive of GST as stated at checkout. Applicable taxes, including GST, are charged as per law, and a tax invoice is provided. Paid plans renew at the end of each billing cycle unless you cancel before renewal. We may change prices with prior notice; the change applies from your next billing cycle.

06. Cancellation and refunds

You may cancel a paid plan at any time and keep access until the end of the current billing cycle. Refunds are governed by our Refund Policy: monthly plans are non-refundable, and annual plans may be refunded on request within 30 days of the initial purchase.

07. Intellectual property

All intellectual property rights in the site and service, including copyrights, trademarks, software and trade secrets, belong to Mensa Labs Private Limited or its licensors. These Terms do not transfer any of those rights to you.

08. Third-party links and services

The site may link to third-party websites and services that we do not control. We are not responsible for their content, privacy practices or accuracy, and you use them at your own risk.

09. Disclaimers

The service is provided on an “as is” and “as available” basis. To the extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not guarantee that the service will be uninterrupted, timely, secure or error-free. Recordbook is a record-keeping tool and does not provide legal, tax or accounting advice.

10. Limitation of liability

To the maximum extent permitted by law, Mensa Labs Private Limited is not liable for indirect, consequential, incidental, special or punitive damages arising from these Terms or your use of the service. Our total liability to you will not exceed the amount you paid us in the three months before the claim arose. Nothing in these Terms limits any right you have as a consumer under the Consumer Protection Act, 2019 that cannot be excluded by law.

11. Term and termination

These Terms apply while you use the service. You may stop using it and delete your account at any time. We may suspend or terminate your access if you breach these Terms or the law, with notice where reasonably possible. On termination your right to use the service ends; we will make your data available for export for a reasonable period as stated in the product, unless law requires otherwise.

12. Copyright and takedown

If you believe content on the service infringes your rights or violates law, write to the Grievance Officer below with details of the work, the location of the content and your contact information. We will act on valid notices as required by the IT (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.

13. Grievance redressal

Under the Consumer Protection (E-Commerce) Rules, 2020, our Grievance Officer can be reached using the details below. We acknowledge complaints within 48 hours and resolve them within one month. Refund requests follow the process in our Refund Policy.

14. Governing law and disputes

These Terms are governed by the laws of India. The courts at Bengaluru, Karnataka have exclusive jurisdiction, subject to any right you have as a consumer to approach a Consumer Disputes Redressal Commission or the National Consumer Helpline.

15. Changes to these terms

We may update these Terms from time to time. We will notify you of material changes by email or notice on the site. Continued use after changes are posted means you accept the updated Terms.
